These Terms and Conditions ("Terms") govern your use of Tethics Incorporated (Pty) Ltd's ("we," "us," "our") website (www.tethics.co.ls) and cybersecurity services. By accessing our website or engaging our services, you agree to comply with these Terms. If you represent an organization, you confirm authority to bind that entity.
Services: Cybersecurity solutions listed on our website.
Client: Any entity purchasing Services.
Content: All materials (text, graphics, tools) on our website.
SOW: Statement of Work detailing service scope.
3.1 Scope of Services
We provide: Security Assessments, Threat Intelligence, Compromise Assessments, Incident Response, Security Training, Cloud Security, ISMS Development.
3.2 Limitations
Services are defined in individual SOWs. Any additional work requires written agreement. We reserve the right to decline high-risk engagements.
You agree to provide accurate information for service delivery, grant necessary system access for assessments, designate a point of contact for coordination, and comply with all applicable laws applicable to the provision of our services.
5.1 Pricing: Fees are specified in proposals/SOWs. Travel expenses and administration costs shall be billed separately and a quote maybe provided on request, and it shall hold a thirty-day validity period billed separately.
5.2 Payment Terms: 50% deposit required before service commencement. The balance due within 30 days of invoice. Late payments incur 1.5% monthly interest compounded.
6.1 Our Materials: All pre-existing tools, methodologies, and reports remain our exclusive property. Clients may receive a limited license to use deliverables internally.
6.2 Client Data: You retain ownership of your data. We process it only for service delivery.
Both parties agree to protect confidential information. Exclusions: Publicly available data or independently developed knowledge. Confidentiality survives termination of the service agreement for a period of three (3) years.
8.1 Service Warranty: We perform Services with reasonable skill and care.
8.2 Critical Disclaimers: We do not guarantee all breach prevention: Cybersecurity involves inherent risks.
8.3 Third-party tools: We disclaim liability for any tools outside our control.
8.4 "As-is" website:The content on our website is strictly informational and we provide no warranties of accuracy for any reliance on the content.
Our total liability ≤ 125% of fees paid for the relevant service. Excluded damages: Indirect, consequential, or punitive losses. Liability caps do not apply to breaches of confidentiality, gross negligence, or death/personal injury.
10.1 By Client: This shall require a written notice, any deposit already paid will be non-refundable and all work completed at the time of the termination shall be billed.
10.2 By Tethics: We may terminate for non-payment exceeding 60 days, material breach of these Terms, or client bankruptcy/insolvency.
Jurisdiction: Lesotho courts. Governing Law: Laws of Lesotho. Dispute Resolution: Parties must attempt mediation before endeavouring into any litigation. Any mediation shall be held by senior Legal Officials of the Parties to the agreement and shall be mediated by an Attorney or Advocate with 10+years of commercial law experience. The mediator shall be appointed by the Law Society of Lesotho.
We may update these Terms periodically. Continued website use constitutes acceptance. Material service changes shall require written consent of both client and customer.
We shall not be liable for delays/failures caused by natural disasters, cyberwarfare, government restrictions, or pandemics.

These Terms supersede all prior agreements, the specific service terms in SOWs shall prevail in the event of a conflict.
